Year-end filings and deadlines got you stressed? We’ve got you covered. With the new year upon us, we want to remind you of several critical business responsibilities you must complete for your business. Taking care of these critical filings will help you begin the New Year the right way!

  1. Beneficial Ownership Information (BOI) Report:

    • Deadline: January 1, 2024

    • Requirement: Most legal entities, domestic or foreign, must report Beneficial Ownership Information to FinCEN.

  2. Payroll Set-Up and State Tax Registration (SIT/SUI):

    • Requirement: New businesses planning to hire employees in their home state or other states need to register for payroll taxes.

  3. Foreign Qualification Filings:

    • Requirement: Corporations or LLCs planning to operate or expand into other states need to file for foreign qualification.

  4. Annual Reports Filings:

    • Consequence of Non-Compliance: Failure to file annual reports may result in loss of good standing, fines, and penalties.

  5. Dissolutions and Withdrawals:

    • Advice: Ceasing operations requires proper dissolution; ceasing business in certain states requires withdrawal to avoid additional fees and taxes.

  6. Amendments, Conversions, and Modifications:

    • Requirement: Businesses making changes or conversions need to file documents with the state of formation and states where they are foreign qualified.
